The primary focus of this role is to manage, analyze, monitor and disburse Voluntary Corporate Action events, ensuring the timely and accurate payment to participant accounts at CDS. The Voluntary Corporate Changes Processing Analyst is responsible for; coordinating and managing Voluntary Corporate Action events, timely submission of securities to Transfer Agents, Paying Agents and/or DTC, and the receipt of proceeds in a timely manner ensuring prompt payment to CDS Participants. The Corporate Changes Processing Analyst interacts with Participants, Depositary/Transfer Agents, Issuers, Lawyers, Underwriters, and Paying Agents in a cordial and professional manner to maintain effective coordination of the submission and payment processes

Key Accountabilities:

  • Analyze information that is applicable to the processing of Voluntary corporate action event files.

  • Effectively manage and administer all ongoing Voluntary Corporate Action event files ensuring that all expiry, payment dates, letters of transmittal and letters of guaranteed delivery are identified and the pertinent dates for submission of securities and receipt of payments is established.

  • Review bulletin, event, options, expiry date and times, solicitation fees, tax implications, 302 tax application, residency and letters of transmittal to ensure all information is understood and critical dates are diarized for action.

  • Verify and ensure all timelines to submit Voluntary tenders are clearly understood.

  • Co-ordinate and closely manage the timely receipt and delivery of securities to fill tender offers including all pertinent sections on the letter of transmittal form where applicable.

  • Manage the release of securities from DTCC to CDS to facilitate tendering to the Corporate Action event, if required, or to secure sufficient float of securities in Canada due to withdrawals (i.e. pertaining to Guaranteed Delivery or options/events that were taken up and paid).

  • Coordinate timely delivery and balancing of securities and the receipt of funds with the Depository and the Paying Agent on all Corporate Action events to ensure Participants are paid according to established dates and audit/security standards.

  • Submit letters of Transmittal/Instructions and Securities to Transfer Agent in a timely manner, ensuring the accuracy of the Voluntary Corporate Action events including: ISIN, date/time, rates, DA information, and amount of submission.

  • Follow up with the Transfer Agent, Depositary Agent, DTCC, and Issuers as deemed vital to confirm/verify details of payment.

  • Update events in the Corporate Action system to enter rates and pay dates and/or reconfirm and balance events, prior to requesting the release of payment to Participants in the CDSX system.

  • Adhere to strict and aggressive unit deadlines for turnaround of related information.

  • Ensure all interactions with other departments and our customers are taken care of promptly, tactfully and in a courteous manner.

  • Interact with Issuers, Transfer and Paying Agents, Securities Regulators, Underwriters, Dealers, Investment Managers, US Depository, Corporate Legal Counsel and other sources to confirm and/or clarify any legal or processing requirements and to verify the details of the information contained within the project files.

  • Proactively interact with the Supervisor/Manager to review terms, options, legal/tax information and any other issues that may need clarification prior to completion of the event.

  • Research, analyze and resolve discrepancies promptly.

  • Strict adherence to CDS' procedures, audit requirements and internal control verification process.

  • Quick and decisive resolution of problems and discrepancies that may negatively impact SIES Operations and the timely documentation and escalation of these sophisticated/critical issues to ensure senior management's immediate action.

  • Complete unit control checklists acknowledging that all Audit requirements have been complied with.

  • Perform any additional functions that may be assigned from time to time to maintain effective coordination and management within the unit.

  • Assist where necessary and/or advised in a BCP situation.


Skills and Experience:

  • Post Secondary education in Commerce or Business Admin. preferred.

  • 5+ year's operational/business experience in the Securities Financial Industry.

  • 4 - 5+ years experience in Reorganizations/Corporate Action and Entitlement processing functions preferred.

  • A good understanding of Corporate Actions and Settlement Procedures is highly recommended.

  • The Canadian Securities Course is an asset.

  • Strong organizational skills with the demonstrated ability to plan and prioritize in order to meet strict deadlines in a time sensitive environment.

  • Must enjoy working in a fast, multifaceted and stressful environment.

  • Must be able to complete assignments within specific time schedules.

  • Self-motivated and able to work with minimum supervision.

  • Good analytical/accounting skills in order to accurately calculate and determine complex security features.

  • Able to work collectively within a Team environment to maintain customer focus and achieve desired business results.

  • Good problem solving skills. Able to gather information through the questioning of others, review of documentation and observation of situations. Must be able to select the most appropriate course of action and take the initiative to achieve objectives and/or resolve problems promptly, without defense and while exercising good judgment.

  • Detailed and result oriented.

  • Able to write clearly and concisely and effectively interact with external contacts via phone or email.

  • Ability to effectively interact with individuals at all levels, in various capacities among our Participants, Issuers, Transfer Agents and other high profile Organizations.

  • Able to exercise tact and diplomacy in completing work activities by demonstrating sensitivity to User's concerns/interests.

  • Ability to act decisively and calmly under pressure.

  • High degree of professionalism, integrity and consistency.

  • Able to adapt and work effectively within a variety of situations, adjusting positively to change and a change in job demands.

  • Knowledge of the various PC software systems (MS Word, Excel, Lotus Notes, Internet, etc.).

  • Strict adherence to CDS guidelines and confidentiality of information is critical. Must display honesty, integrity and respect in the workplace.
