About the role

Separation Track Lead (Contract) Duration: 2-Year Contract Work Arrangement: Remote/Flexible Canada wide Role Overview We are seeking an experienced Separation Track Lead to serve as the operational architect for a high-profile divestiture program. This role will lead the design and execution of the Transition Services Agreement (TSA) framework throughout the critical separation phase, from due diligence through transaction close.

The successful candidate will operate at the intersection of operational, financial, and legal workstreams, ensuring alignment across stakeholders while delivering structured, defensible separation solutions that support successful transaction outcomes.

Key Responsibilities TSA Architecture & Design Design and develop comprehensive Transition Services Agreements (TSAs), including service schedules, cost allocation models, and assumptions registers across multiple business functions. Define TSA structures and service requirements to support separation objectives and transaction timelines. Completion Criteria & Exit Planning Develop measurable and defensible completion criteria that clearly define successful separation outcomes. Create and maintain exit matrices that guide transition readiness and service termination milestones. Separation Assessment & Planning Apply operational, financial, and legal perspectives to assess TSA requirements. Identify risks, dependencies, and critical escalation points early in the separation process. Cross-Functional Coordination Coordinate activities across separation, commercial, legal, finance, HR, tax, operations, and IT workstreams. Ensure alignment between transaction objectives and operational separation requirements. Stakeholder Management Facilitate discussions with executive leadership, legal counsel, tax advisors, finance teams, and operational stakeholders. Translate complex separation requirements into actionable plans and deliverables. Cost Allocation & TSA Pricing Develop TSA pricing frameworks using recognized allocation methodologies, including direct, usage-based, user-based, and proxy approaches. Support review and validation of pricing assumptions and financial models. Knowledge Transfer & Documentation Prepare comprehensive documentation, playbooks, and transition materials. Lead knowledge transfer activities to ensure continuity and operational readiness. Risk & Issue Management Identify, assess, and manage separation risks and issues. Develop mitigation strategies and escalate concerns appropriately.

Required Qualifications Separation & Transformation Expertise 5+ years of M&A separation experience. Experience leading TSA design and architecture for a minimum of three carve-out transactions. Strong understanding of separation methodologies, governance frameworks, and transaction execution. TSA & Functional Domain Knowledge Deep knowledge of TSA design and architecture across: Operations Information Technology Human Resources Finance Legal Tax Financial Acumen Advanced understanding of cost allocation methodologies. Ability to develop, analyze, and defend pricing models and financial assumptions. Leadership & Communication Proven ability to lead complex, cross-functional initiatives. Strong stakeholder management and executive communication skills. Ability to influence decision-making and drive accountability across teams. Additional Requirements Full professional proficiency in English. Ability to work effectively in fast-paced, evolving environments. Strong project management, organization, and problem-solving skills. Preferred Qualifications Bachelor's degree in Business, Finance, or a related discipline. MBA, JD, or other advanced degree. Specialized M&A, separation, or transaction-related certifications. Experience operating within integrated deal governance models. Experience leading knowledge transfer and post-divestiture transition activities.
